Issuance in the book-entry system

A public or private limited company may swiftly and securely issue shares or other share-entitling securities as well as retail bonds through the book-entry securities system. This system does not use any certificates and, after the issue, the company does not need to maintain share, shareholder, bearer or creditor registers. Instead, these registers are maintained by Euroclear Finland.

Entering securities in the book-entry securities system is governed by Euroclear Finland's rules and regulations. We provide consultation in all issuance-related procedures as well as in all capital reorganisation related to the existing securities in the system.

The following instruments may be issued in the book-entry securities system:

  • shares
  • co-operative shares
  • depository receipts
  • options and bonds with warrants
  • convertible bonds
  • retail bonds
  • covered warrants
